Our Framework

Key Areas of Governance

From board leadership to cybersecurity, here’s how we put accountability into practice.

Board Leadership Structure

The Board evaluates its leadership structure annually to best serve shareholder interests. As part of our Corporate Governance framework, a combined CEO and Chair role provides unified leadership, balanced by an engaged Lead Independent Director and four standing committees — Audit, Compensation, Nominating & Corporate Governance, and Innovation & Technology.

Meeting Attendance

The Board held 7 meetings in FY25, with committees convening an additional 17 sessions. Each director attended at least 75% of all Board and committee meetings on which they served. All Board members attended the 2025 annual meeting of shareholders.

Compliance

Standex views legal and regulatory compliance as the foundation for ethical business practices. In FY25, we appointed a dedicated Corporate Compliance Counsel to strengthen policies, enhance training, and investigate any alleged violations.

Code of Conduct & Ethics

Our Code of Conduct applies globally to all employees, officers, and Board members. Employees receive and formally acknowledge the Code annually, supported by interactive compliance training. A 24/7 anonymous reporting hotline operates across all locations worldwide. No waivers have been granted during FY25 or any prior period.

Shareholder Engagement

Standex maintains direct channels for shareholder communication with the Board of Directors. Shareholders and interested parties can reach the Board via email at boardofdirectors@standex.com or by written correspondence directed to the Corporate Governance Officer.
